Terms and Conditions

The Explore with Imray website and related services (“The Platform”) are made available to you by Imray, Laurie, Norie & Wilson Ltd (“Imray”) of Wych House, The Broadway, St Ives, Cambridgeshire, PE27 5BT, UK, subject to these Terms and Conditions (“the Terms”) and in accordance with the Privacy Policy (“the Privacy Policy”). This is a contract between you and Imray and concerns Explore with Imray and subscriptions consisting of Data, Software and Documentation. By accessing or using the Explore with Imray platform, you agree to be bound by the Terms and Conditions of this contract and to act accordingly.

Explore with Imray is designed to provide digital access to content from books published by Imray along with features that allow interaction with the data. It is not designed to replace printed books or the navigator’s responsibility to exercise due caution.

Appropriate and up to date charts should be carried at all times when sailing.

Imray grants you a non-exclusive, non-transferrable, non-assignable licence for the use of this platform, to be accessed through your own personal device through standard synchronisation methods. This contract is a licensing agreement for the use of The Platform and not an agreement for sale. Imray continues to own this copy of The Platform and any other copy that this contract authorises you to make.

You are entitled to updates to The Platform, which are issued from time-to-time by Imray. These updates may contain enhancements or corrections to the platform or additions of content and function, at the discretion of Imray. The terms applying to any such upgrade may vary and will be documented with the upgrade.

The licence granted by Imray for the use of The Platform and the Data, Software and Documentation is conditional upon your agreement to the following Terms.

If you do not agree with the terms and conditions of this contract you should not proceed with the use of this product nor with the purchase of a Membership.

1. Definitions

“The Platform” refers to Explore with Imray (www.explorewithimray.com) and related services

“Imray” refers to Imray, Laurie, Norie & Wilson Ltd

“The User” refers to any person or legal entity that uses The Platform

“User Account” refers to an account that allows The User to access The Platform

“Membership” refers to a paid solution allowing The User access to paid services on The Platform

“Pilotage Data” refers to data on The Platform derived from printed Imray book editions.

“The Authors” refers to the authors and groups who own the copyright to the data provided from the books on The Platform

“UGC” refers to User Generated Content which is added to The Platform using the social blogging tools available within The Platform

2. Use of The Platform

You may use The Platform at any time and for any purpose, subject to the restrictions in this agreement.

You may not copy, rent, sell or transfer the app to any other person or company.

2.1 User Account

If The User would like to use The Platform, they must create a User Account by providing the following information:

Email address

Password

Upon completion of the registration, The User may access their User Account on The Platform by activating the connection parameters (email address and password).

The User must verify the validity of the email address provided upon its inscription for as long as the email is an identification element of the user account.

The User will be responsible for updating on a regular basis their confidential password and to assure that it consists of letters, numbers and symbols of sufficient length.

You may register for or log-in to your User Account via a third-party network, such as Apple or Google. If you do so, you hereby authorize Imray to pre-populate the registration and other relevant information fields of your account and/or to use such third-party credentials to log you into your account. If you connect your account to a third-party network, you agree to comply with the terms and conditions and policies applicable to such third party.

A User of The Platform may delete their account at any time by addressing a request to explore@imray.com.
2.2 Payments and Fees

Explore with Imray subscriptions are known as “Memberships”.

2.2.1 Free trial

Upon creating a User Account, The User is immediately entered into a free trial. You are entitled to access the Pilotage Data for up to 10 locations in the free trial. There is no limit to how many times or for what duration you can access these 10 locations.

Users of The Platform also have free, unlimited access to the social blogging tools available on The Platform, subject to the Terms of this Agreement. A User is able to utilise these tools upon completion of their User Profile.

2.2.2 Membership period

To access more than the 10 locations of Pilotage Data offered in a free trial, The User must take out a Membership. A Membership of The Platform will cover an annual (12 month) or monthly (1 month) period (billed on the same day each month) from the date of purchase. During the period for which The User is a member they will receive access to all Pilotage Data available on The Platform.

2.2.3 Auto-Renewal

A Membership will automatically renew unless cancelled in My Membership before the end of the current period. A User can cancel their Membership at any time and the Membership will remain available until the end of the period they have paid for.

A User will receive a reminder 7 days before their Membership automatically renews .

2.2.4 Prices and payments

The price of a Membership is indicated in the My Membership section of The Platform. The price of a Membership renewal is the same as any current, live Membership unless The User is otherwise notified in advance.

If The User cancels their Membership and renew again later, the price may have changed since the initial Membership. The price will be made clear before you begin a new Membership.

The price of the Membership of The Platform will be charged to the payment card that you use at the point of payment.

Any unused portion of a free trial period, if applicable, will be forfeited when you purchase a Membership.

2.3 User Generated Content (UGC)

Imray may, but is not obligated to, offer interactive features that allow The User to, among other things, submit or post UGC or links to third party Content on areas of the platform accessible and viewable by other Users of The Platform. If you are a User, you represent and agree that any use by you of such features, including any UGC or links submitted or posted by you, shall be your sole responsibility, shall not infringe or violate the rights of any other party or violate any laws, contribute to or encourage infringing or otherwise unlawful conduct, or otherwise be obscene, objectionable or in poor taste, and that you have obtained all necessary rights, licenses or clearances. Users also further agree to provide accurate and complete information in connection with your submission or posting of any UGC on The Platform. UGC includes, without limitation, tablatures (text or electronic), reviews, videos, photos, articles, audio files, and any other content whether copyrightable or not.

By submitting UGC to The Platform, Users are agreeing to adhere to the Community Standards of the Platform.

You own the information, data, text, software, sound, photographs, graphics, video, messages, posts, tags, or other materials you make available in connection with The Platform. You grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform and display any UGC and any name, username or likeness that you post on or in connection with The Platform in all media formats and channels now known or later developed without compensation to you. This license ends when you delete your UGC or your User Account.

You understand that you, and not Imray, are entirely responsible for all UGC that you upload, post, email, transmit or otherwise make available via The Platform. Imray does not guarantee the accuracy, integrity or quality of such UGC. Imray may, in its sole discretion, screen, monitor, hide, refuse or remove any UGC, or remove any UGC that violates the Terms, the Community Standards or is otherwise objectionable. You understand that by using The Platform you may be exposed to UGC that is offensive, indecent or objectionable. Under no circumstances will Imray be liable in any way for any UGC, including, but not limited to, any errors or omissions in any UGC, or any loss or damage of any kind incurred as a result of the use of any UGC made available on The Platform. You agree to bear all risks associated with the use of any UGC available in connection with The Platform, including any reliance on the accuracy, completeness, or usefulness of such UGC.

Imray has the right, but not the obligation, to monitor any information and UGC submitted or posted by you or otherwise available on The Platform, to investigate any reported or apparent violation of this Agreement, and to take any action that Imray in its sole discretion deems appropriate

2.4 Conduct

We expect you to honour the Explore with Imray Community Standards. The Platform is for your personal and non-commercial use. You may not use The Platform, or assist or encourage any other party, to engage in any of the following activities:

Publishing, transmitting, distributing or storing content, material, information or data that:

is illegal, obscene, defamatory, threatening, harassing, abusive, or hateful or that advocates violence;

is harmful to or interferes with The Platform or any third party’s networks, equipment, applications, services or websites (e.g., viruses, worms, Trojan horses, etc.);

infringes, dilutes, misappropriates or otherwise violates any privacy, intellectual property, publicity or other personal rights including, without limitation, copyrights, patents, trademarks, trade secrets or other proprietary information (including unauthorized use of domain names); or

is fraudulent or contains false, deceptive or misleading statements, claims or representations (such as “phishing”);

Attempting to disrupt, degrade, impair or violate the integrity or security of The Platform or the computers, services, User Accounts or networks of any other party (including, without limitation, “hacking,” “denial of service” attacks, etc.), including any activity that typically precedes attempts to breach security such as scanning, probing or other testing or vulnerability assessment activity, or engaging in or permitting any network or hosting activity that results in the blacklisting or other blockage of Imray internet protocol space;

Avoiding payment of charges or fees payable by you with respect The Platform;

Committing any act that may be harmful to minors;

Distributing, or disclosing any part of The Platform in any medium, including without limitation by any automated or non-automated “scraping”;

Using any automated system, including, without limitation, “robots,” “spiders,” “offline readers,” etc., to access The Platform in a manner that sends more request messages to Imray than a human can reasonably produce in the same period of time by using a conventional web browser;

Taking any action that imposes, or may impose, at our sole discretion, an unreasonable or disproportionately large load on our infrastructure;

Collecting or harvesting any information relating to an identified or identifiable individual, including User Account names and information about Users of The Platform from The Platform;

Using The Platform for any inappropriate commercial solicitation purposes;

Accessing any content on The Platform through any technology or means other than those provided or authorized by The Platform and Imray;

Submitting to The Platform or to Imray any information that may be protected from disclosure by applicable law;

Bypassing the measures we may use to prevent or restrict access to The Platform, including, without limitation, features that prevent or restrict use or copying of any content or enforce limitations on use of the Services or the content therein;

Violating any applicable law, statute, ordinance or regulation, or encouraging any conduct that could constitute a criminal offense or give rise to civil liability;

Removing any copyright, trademark or other proprietary rights notices contained in or on The Platform.

2.4 Reproduction

The reproduction (printing) of the site’s pages on paper is only authorised for private and non-commercial uses.

The reproduction of the site in its entirety or partially on electronic support is prohibited.

2.5 Transfer

You may not rent, lease, sublicense or lend the Data, the Software or the Documentation.

3. Copyright and the other rights of Imray

All the Data, Software and Documentation in this platform is Copyright Imray, Laurie, Norie and Wilson Ltd and The Authors of the books from which the content is derived, unless otherwise stated, and is protected by international copyright law. Portions of the content are derived from data which is copyright the UK Hydrographic Office and other Hydrographic Offices. You may not copy, adapt, modify or distribute the Data, Software and Documentation of this platform.

You grant Imray the right to use any suggestions or comments you may make about the platform, without restrictions of any kind, and to own all copyright of any content, design or software that may be based on such suggestions or comments.

This agreement does not grant you any intellectual property rights. You warrant your understanding that the Data, the Software and the Documentation are the property of Imray, the Authors, the British Crown and international Hydrographic Offices and are protected by English law, international treaty provisions and applicable laws of the country in which they are being used. You further warrant your understanding that the structure, organisation and code of the Data, Software and Documentation are the valuable trade secrets and confidential information of Imray.

You agree neither to modify, adapt or translate the Data, the Software or the Documentation nor to create any derivative works based upon the Data, the Software or the Documentation. You also agree not to reverse engineer, de-compile, disassemble or otherwise attempt to discover the source code of the Software.

4. Termination

You may terminate this Agreement by cancelling your Membership. Memberships can be cancelled within the My Membership section of The Platform. A User of The Platform may delete their account at any time by addressing a request to explore@imray.com.

This Agreement will terminate if you breach any of the terms in this Agreement. The User License is revoked when this Agreement is terminated.

You agree that Imray may, under certain serious circumstances and without prior notice, immediately suspend or terminate your account and/or access to the services. Cause for such suspension or termination shall include, but not be limited to

breaches or violations of the Terms or other incorporated agreements, policies or guidelines
requests by law enforcement or other government agencies
discontinuance or material modification to The Platform (or any portion thereof)
unexpected technical or security issues or problems
extended periods of inactivity, and/or
nonpayment of any fees owed by you in connection with The Platform.

Termination of your account may include

removal of access to all offerings within the Services
deletion of your information, files and Content associated with your account
barring of further use of the Services

5. Links to other sites

The Platform may contain links pointing to third party sites that are not under the control of Imray. Imray is in no manner responsible for the content of other websites that the user may access from the site. When the user accesses a site other than The Platform or www.imray.com, they do so at their own risk and Imray will not be liable with regard to the exactitude or reliability of the information, data, opinions, suggestions or declarations published on the said other site, or the quality of the products or services offered.

6. Limited warranty

Imray warrants that when used with a recommended hardware configuration the Software and latest editions of the Data will perform substantially in accordance with the Documentation.

Imray makes no guarantee, representation or warranty as to the performance or reliability of The Platform. You assume all responsibility and risk for the use of The Platform. The Platform shall not be used for any critical or life safety purpose where the application accuracy or performance may result in personal risk or injury.

7. Disclaimer of warranty

Imray disclaims liability to any person for any loss or damage of whatever nature arising from the misuse of this product or rom any event beyond its control including but not limited to loss or damage caused during installation on the user’s device.

You assume all responsibility and risk for the use of The Platform and assume the entire cost of any necessary fault repair, installation, backup and restore. Imray disclaim all warranties with respect to the Data, Software and Documentation in this platform, including any warranties of fitness for purpose. Imray specifically do not warrant that the Data, Software and Documentation will satisfy your requirements, or that any errors will be corrected within any particular time period.

8. Limitation of liability

Imray shall not be liable for direct, indirect, consequential, punitive or any other damages of any kind. Imray shall not be liable for non-performance of The Platform or any external systems it may use, such as GPS and others. Imray shall not be liable for your use or inability to use or install The Platform. The Platform is not intended for navigation.

9. Governing law and general provisions

This contract shall be governed in all respects in accordance with English law and you submit to the exclusive jurisdiction of the English courts and no other jurisdiction. Any dispute arising from this Agreement shall be brought exclusively to a court in England.

This contract is the entire agreement between you and Imray relating to the Data the Software and the Documentation and supersedes any prior representations, discussions, undertakings, end user licence agreements, communications or advertising relating to the Data, the Software and the Documentation.

If any part of this contract is found void or otherwise unenforceable, that finding shall not operate to affect the validity of the rest of this contract, which shall remain valid and enforceable according to its terms.

This contract will terminate automatically upon any failure by you to comply with its terms.

The contract may only be varied in accordance with express terms agreed to by an authorised employee of Imray.

10. Attribution

Imray digital products have been derived partly from material obtained from official Hydrographic Offices and other sources as below.
